Who these terms apply to
These terms govern the relationship between DataChef B.V. (“DataChef,” “we,” “us”) and organizations (“you,” “the customer”) that engage DataChef to deploy and use Dana.
Dana is a knowledge management platform. It is deployed into the customer's own infrastructure — whether cloud-based or on-premises — and operates entirely within that environment.
What Dana is and is not
Dana is a software platform that consolidates scattered organizational knowledge into a centralized, searchable system. It connects to code repositories, documentation systems, and domain expertise to surface contextual answers through natural language queries, detect knowledge gaps, and continuously improve its understanding over time.
Dana is a tool to support knowledge discovery and decision-making. It is not a substitute for the professional judgment of engineers, architects, domain experts, or other qualified personnel. Outputs generated by Dana — including answers, summaries, and recommendations — are intended to support human review and decision-making, not to replace it. DataChef makes no representation that information surfaced by Dana is complete, current, or free from error, and customers are responsible for validating outputs before acting on them.
Deployment and onboarding
Dana is deployed into the customer's own environment. DataChef provides deployment support and works alongside the customer's technical team to complete the initial setup.
During onboarding, DataChef personnel may require temporary, scoped access to the customer's environment for configuration purposes — for example, to assist with connecting Dana to source systems such as GitHub, BigQuery, dbt, Confluence, or Jira, or configuring API integrations. This access is limited to what is necessary for deployment and is conducted in coordination with the customer. DataChef personnel do not retain access to customer environments beyond what is agreed for the duration of onboarding or any ongoing managed service arrangement.
Customer data
Because Dana runs within the customer's own infrastructure, all data processed by the platform — including source code, documentation, expert interviews, queries, and generated responses — remains within the customer's environment at all times. DataChef does not have access to, and does not process, this data in the course of normal platform operation.
The customer is responsible for the security, management, and governance of data within their own environment, in accordance with their own legal and regulatory obligations. This includes ensuring that appropriate access controls are in place for users who query Dana and for the source systems Dana connects to.
Managed service arrangements
Following initial deployment, customers may choose to manage Dana independently or engage DataChef for ongoing support under a separate managed service agreement. The terms of any such arrangement are agreed separately and take precedence over these terms where applicable.
Intellectual property
Dana, including its knowledge engines, application software, and associated documentation, is the intellectual property of DataChef B.V. Deployment of Dana does not transfer ownership of any part of the platform to the customer. Customers are granted a license to use Dana within their environment in accordance with the terms of their agreement with DataChef.
Limitation of liability
To the maximum extent permitted by applicable law, DataChef's liability in connection with Dana is limited to direct damages and shall not exceed the fees paid by the customer in the twelve months preceding the claim. DataChef is not liable for indirect, consequential, or incidental damages, including but not limited to losses arising from reliance on outputs generated by Dana.
Governing law
These terms are governed by the laws of the Netherlands. Any disputes arising from or in connection with these terms shall be submitted to the exclusive jurisdiction of the competent courts in The Hague, Netherlands.
Changes to these terms
We may update these terms from time to time. Where changes are material, we will notify customers directly. Continued use of Dana following notification constitutes acceptance of the updated terms.
